Partner Program Terms

These terms govern your participation in the Flair Partner Program ("Program"). By joining the Program, you agree to these terms. If you don't agree, don't participate.

We may update these terms from time to time. If we make significant changes, we will notify you via email and refresh the date at the top of this page with at least 30 days' notice before changes take effect.

Definitions

"Company", "we", "our", or "us" refers to Brainy Atom LLC, doing business as Flair Commerce.

"Partner", "you", or "your" refers to the individual or organization accepted into the Program.

"Referred Merchant" means a Shopify merchant who installs Flair through your referral link and becomes a paying customer.

"MRR" means monthly recurring revenue from a Referred Merchant's active Flair subscription.

"Net MRR" means MRR after deducting discounts, refunds, taxes, fees, platform revenue share (e.g., Shopify's application fee), and excluded charges such as usage overages.

Eligibility

The Program is open to Shopify agencies, consultants, ecommerce educators, creators, and ecosystem partners. We review and approve applications individually.

We do not accept coupon or deal aggregator sites, paid traffic arbitrage operations, or incentivized install schemes. We reserve the right to decline any application for any reason.

How Referrals Work

  1. You share your unique referral link with prospective merchants.
  2. If a merchant clicks your referral link and installs Flair within 30 days, the referral is attributed to you.
  3. Attribution is based on the most recent qualifying referral link prior to install. If multiple partners refer the same merchant, attribution is assigned according to our tracking rules at the time of install.
  4. Referrals only apply to merchants who have never previously installed Flair.

Commission

Partners earn a 20% recurring commission on Net MRR from each Referred Merchant for as long as that merchant remains a paying Flair customer.

  • All paid Flair subscription plans
  • Plan upgrades and downgrades (commission adjusts to the new Net MRR)

We reserve the right to introduce additional commission tiers or adjust commission rates in the future. Any changes to commission rates will apply to new referrals only. Commission rates on existing Referred Merchants will not be reduced retroactively.

Payouts

  • Commissions are paid quarterly.
  • The minimum payout threshold is $50. Balances below $50 carry forward to the next payout period.
  • Payouts are issued through the payment method(s) we make available at the time. We will communicate payout methods and any setup steps when you are accepted into the Program.

Partners are responsible for providing accurate payment and tax information required to receive payouts. If we overpay you due to a refund, chargeback, or calculation error, we will deduct the overpaid amount from future payouts. We reserve the right to withhold or reverse commissions resulting from violations of these terms.

Cancellations, Refunds, and Reactivations

  • Cancellation: When a Referred Merchant cancels their subscription or stops paying, commission on that merchant stops.
  • Refunds: If we refund a merchant charge on which commission was already paid, the commission amount will be deducted from your future payouts.
  • Reinstalls: If a Referred Merchant uninstalls and reinstalls Flair within 15 days, your original referral attribution is preserved. After 15 days, referral attribution is removed and the merchant is no longer eligible for partner commission.

Your Responsibilities

As a Partner, you agree to:

  1. Promote Flair honestly and accurately. Do not make claims about features, pricing, or results that are misleading or unsubstantiated.
  2. Disclose your affiliate relationship where required by law, including FTC guidelines and equivalent regulations in your jurisdiction.
  3. Comply with all applicable laws and regulations in your promotional activities.

Restricted Activities

You may not:

  • Run paid advertising of any kind (including but not limited to search ads, social ads, and display ads) to drive referral traffic.
  • Refer yourself or businesses you own or control.
  • Use coupon, deal, or cashback sites to generate referrals.
  • Use misleading, deceptive, or spammy promotional methods.
  • Impersonate Flair or the Company, or create the false impression of an official endorsement or employment relationship.
  • Offer incentives (cash, credits, discounts, or gifts) to merchants in exchange for installing Flair through your referral link.
  • Register domain names, social media handles, or advertising accounts that contain or closely resemble Flair trademarks.
  • Attempt to manipulate referral attribution, install tracking, or commission calculations.

Intellectual Property

We may provide you with logos, images, or other brand assets for promotional use. You may only use these materials in connection with your participation in the Program and in accordance with any brand guidelines we provide.

You do not gain any ownership rights to our trademarks, logos, or other intellectual property through participation in the Program. We may revoke permission to use brand assets at any time.

Termination

By you: You may leave the Program at any time by contacting us. Earned commissions above the minimum payout threshold will be paid in the next regular payout cycle.

By us: We may suspend or terminate your participation at any time, for any reason, with or without notice. If we terminate the Program entirely or your participation without cause, we will pay any earned, unpaid commissions.

For cause: If we terminate your participation due to fraud, violation of these terms, or other misconduct, all pending and unpaid commissions are forfeited. Examples of cause include but are not limited to: fake signups, self-referrals, incentivized installs, deceptive promotion, or any activity that in our judgment harms Flair, our merchants, or the integrity of the Program.

Program Changes

We may modify, suspend, or discontinue the Program at any time with 30 days' notice. This includes changes to commission rates, payout schedules, attribution rules, and eligibility requirements. Changes to commission rates will not apply retroactively to existing Referred Merchants unless we provide additional notice.

Limitation of Liability

The Program is provided "as is." We are not liable for any indirect, incidental, or consequential damages arising from your participation, including lost commissions due to tracking errors, system downtime, or merchant behavior.

Our total liability to you in connection with the Program will not exceed the total commissions paid to you in the 12 months preceding the claim.

Relationship

You are an independent contractor. Nothing in these terms creates an employment, partnership, joint venture, or agency relationship between you and the Company. You are responsible for your own taxes and business obligations.

Governing Law

These terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

General

  • These terms represent the entire agreement between you and the Company regarding the Program.
  • If any provision of these terms is found to be unenforceable, the remaining provisions remain in effect.
  • Our failure to enforce any provision is not a waiver of our right to enforce it later.
